These Terms of Service ("Terms") constitute a legally binding agreement between Ovrtxt ("Ovrtxt," "we," "us," or "our") and you or the entity you represent ("Customer," "you," or "your") regarding your access to and use of the Ovrtxt authentication platform, APIs, SDKs, and related documentation (collectively, the "Services").
By creating an account, accessing the Services, or using any Ovrtxt API key, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
You must be at least 18 years old and legally capable of entering a binding contract to use the Services. If using on behalf of an entity, you represent that you have authority to bind that entity. You are responsible for maintaining the confidentiality of your API keys and are liable for all activity occurring under your account.
Your API keys are credentials. You must not share them publicly, commit them to version control, or expose them in client-side code. If you believe an API key has been compromised, you must rotate it immediately through the Dashboard. Ovrtxt is not liable for unauthorized use of unrevoked credentials.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You specifically agree not to:
Ovrtxt charges only for successfully completed verifications (sessions that reach
approved status). Failed, expired, or denied sessions are never billed. Invoices are generated
monthly and are due within 30 days. Ovrtxt reserves the right to suspend access for overdue invoices after 7
days of written notice.
For Enterprise tier customers, Ovrtxt targets 99.95% monthly uptime for the API. Downtime caused by carrier disruption, third-party infrastructure failure, or scheduled maintenance windows is excluded from SLA calculations. Status and incident history are published at status.ovrtxt.com.
Phone numbers submitted to the Services are processed in accordance with our Privacy Policy and, for customers who require a Data Processing Agreement, our DPA. Ovrtxt cryptographically hashes phone numbers internally and does not use them for advertising or profiling.
Ovrtxt grants you a limited, non-exclusive, non-transferable license to use the Services during the term of these Terms. All intellectual property rights in the Services remain with Ovrtxt. Open-source SDKs published under the MIT license are governed by that license.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OVRTXT'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL OVRTXT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES.
Either party may terminate these Terms upon 30 days' written notice. Ovrtxt may suspend or terminate your access immediately if you materially breach these Terms, become insolvent, or engage in conduct that Ovrtxt reasonably believes creates legal risk. Upon termination, your API keys are revoked and session data is deleted per our retention policy.
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any dispute shall be resolved by binding arbitration in Austin, Texas under JAMS rules.
Ovrtxt may update these Terms at any time. We will provide 30 days' advance notice of material changes via email or Dashboard notification. Continued use after the effective date constitutes acceptance of the updated Terms.
